Under current SEC Regulation Crowdfunding requirements, the level of financial reporting generally increases with the amount being raised.

$124,000 or less

Generally, financial statements and certain federal income tax return information can be certified by the company's principal executive officer, although different requirements can apply when reviewed or audited financial statements are already available.

More than $124,000 up to $618,000

Generally, the company must provide financial statements reviewed by an independent public accountant.

More than $618,000 up to $1.235 million

For a company conducting its first Regulation Crowdfunding offering, reviewed financial statements may generally still be used rather than audited financial statements, unless audited financial statements are already available.

Companies that have previously sold securities under Regulation Crowdfunding generally face an audit requirement when raising more than $618,000.

The SEC permits Regulation Crowdfunding offerings of up to $5 million during a 12-month period, but the financial statement requirements change depending on the size and circumstances of the offering.

A Review Doesn't Have to Become a Major Expense

If your crowdfunding platform or securities attorney has told you that you need reviewed financial statements, you may already have received a quote from a large CPA firm.

Before accepting it, talk to us.

Streamline Reviews specializes in financial statement reviews and limited-assurance engagements.

We operate with a streamlined approach designed for smaller and growing businesses that need an independent CPA report without the overhead structure of a large accounting firm.

Our goal is simple:

Fast. Responsive. Affordable.

If your accounting records are in good condition and your company qualifies for client acceptance, we may be able to complete your review quickly and at a competitive fixed fee.

Already Have a Quote? Let Us Take a Look.

If another CPA firm has already quoted your Regulation Crowdfunding review, send us the quote or tell us the price.

We may be able to provide a more affordable alternative while still performing the engagement in accordance with the applicable professional standards.

Price isn't the only consideration. Timing matters too.

A delayed CPA review can potentially delay the financial statements needed for your crowdfunding process. We understand that entrepreneurs raising capital don't want their financing plans sitting on someone's desk for weeks while they wait for an accounting firm to get started.

What We Need to Get Started

If you're preparing for a crowdfunding offering, contact us and tell us:

  • Whether you have previously received reviewed or audited financial statements

  • Your desired completion date

We can quickly determine whether the engagement appears to be a good fit and provide you with a quote.

Don't Let the CPA Review Slow Down Your Capital Raise

You've spent enough time building your company and preparing to raise capital.

The financial statement requirement shouldn't become an unnecessary roadblock.
